Windows 2000 server EOL in July

Microsoft has officially announced that Windows Server 2000 will be made dead this July.

If you are still running server 2000 in any of its forms, you will no longer get new software updates after July 2010.

No.  Xp uses the XP kernel.  While all windows versions are derrivative (there's NT 3.1 code in Windows 7), they are not actually 'built on' previous versions.  XP 64 uses the XP32 driver model and most of 32's kernel.  S'what I was told, anyway.
